The Association has its own administration and management of its budget and assets, approved by the AGM, in accordance with the law.
Mr. CHAYNÈS Dimitri is the honorable President of the Professional Golfers’ Association of Romania.
PGA OF ROMANIA IS ORGANIZED AS FOLLOWS
General Assembly of Associates
The AGM is the supreme governing body of the Association. It consists of all Members with voting rights, takes decisions in all matters concerning the PGA and carries out all legal actions useful or necessary to achieve the purpose of the Association.
The AGM:
• elects and dismiss members of the Board of Directors;
• amend the Statutes and the Internal Rules;
• approves the budgets;
• establishes membership fees;
• approves the Internal Rules proposed by the Board of Directors;
• revokes and/or suspends members;
• dissolves the Association;
• establishes the general strategy and objectives of the Association;
• elects, appoints and/or removes the censors;
• establishes subsidiaries and branches;
• any other powers provided for by law or internal operating regulations.
Board of Directors
The Board of Directors shall ensure the implementation of the resolutions of the AGM. It is elected for a period of two years with the possibility of renewal. It may also be composed of persons from outside the Association.
The BD:
• present to the AGM the activity report for the previous period, the execution of the income and expenditure budget, the balance sheet, the draft income and expenditure budget;
• conclude legal acts in the name and on behalf of the association;
• is responsible for organising competitions and participation in competitions;
• performs any other duties provided for in the statutes and internal regulations or established by the AGM.
The general rules concerning the organisation and functioning of the Governing Board shall be laid down in these Statutes and internal rules of operation.
The structure of the Governing Board and the specific tasks of its members shall be laid down in the internal rules of operation.
Decisions in the Governing Board shall be taken by simple majority and in accordance with the Rules of Procedure.
The Board of Directors may empower one or more persons with executive functions, including persons who are not members or strangers of the Association, to perform the duties provided for in the constitutive acts, statutes or other documents of the Association.
